Pandora Media, Inc. (“Pandora”)
Video Submission Release

You hereby acknowledge and agree that any materials you submit to Pandora, including, but not limited to audiovisual works, (“Video Submission”) is made pursuant to the following terms and conditions:

• For good and valuable consideration, including, without limitation, the possibility of publicity, the receipt and sufficiency of which is hereby acknowledged, you hereby irrevocably grant to Pandora the non-exclusive, worldwide, perpetual and royalty-free license to:
  • Use, exhibit and otherwise distribute your Video Submission and every element thereof, in whole or in part, via all media, now known or hereafter devised; and
  • Use and exploit in whole or in part, via all media, now known or hereafter devised your name, voice, likeness and any other information submitted by you in connection with your Video Submission and appearance therein.
• You acknowledge that you shall not be entitled to any monetary compensation in exchange for Pandora’s exercise of its rights hereunder. You further agree that Pandora is not obligated to use or exploit the Submission, and Pandora will have sole discretion for determining the extent and manner of use thereof. In connection therewith, you irrevocably waive your so-called “moral rights.”
• Representations, Warranties & Indemnities. You hereby represent and warrant that:
  • Your Video Submission is wholly original to you;
  • Your Video Submission and grant of rights hereunder will not infringe or violate any right whatsoever, including, without limitation, the trade name, trademark, copyright, right of publicity or privacy, or any other intellectual property or personal property right of any third party individual or entity;
  • You have obtained permission from every individual appearing within your Video Submission. In the event that any individuals appearing in your Video Submission are under the age of 18, you represent and warrant that you are the parent or legal guardian of such minor(s); and
  • You are an adult and are at least 18 years of age, or your parent or legal guardian has read and agreed to the terms and conditions of this Video Submission.
• You will indemnify and hold harmless Pandora, and its parents, subsidiaries, affiliates, successors, assigns and licensees, and each of their directors, officers, agents, equity holders and employees, from and against any and all claims, losses, costs, damages, liabilities and expenses (including reasonable attorneys’ fees), arising out of any breach or alleged breach of this Submission Release, including, without limitation, your representations and warranties hereunder.
• Remedies. By submitting your Video Submission, you agree that your remedies for any dispute, claim or cause of action arising out of or related to your Video Submission are limited to a claim for money damages (if any), and you hereby irrevocably waive any right to seek injunctive or equitable relief.
• Miscellaneous. This Video Submission Release constitutes the entire understanding of the parties. No other agreement, written or oral, express or implied, exists between the parties with respect to the Video Submission. Any modification or waiver hereunder or termination of this Video Submission Release must be in writing, signed by both parties. Pandora may freely assign or transfer (including the unlimited right to sublicense) any or all of the rights or obligations under this Video Submission Release, in whole or in part. If any provision of this Video Submission Release is found to be invalid, such provision will be severed to the minimum extent necessary for the remaining provision to be enforceable. This Video Submission Release will be governed by the laws of the State of California applicable to agreements executed and to be fully performed therein (without regard to conflict of laws provisions thereof).
• You hereby acknowledge that by submitting a Video Submission to Pandora, you have hereby agreed and shall be deemed to have executed this Video Submission Release as of the date on which you submitted your Video Submission.
